NOTICE OF ANNUAL GENERAL MEETING 2026 2
LETTER FROM THE CHAIR
Dear Fellow Shareholders,
I am pleased to present Strike’s Notice of Meeting and Annual General Meeting materials for 2026.
The past year has been one of significant change and renewal for Strike. The Board has carefully considered shareholder
feedback, refreshed both the Company's governance structure and leadership capability and implemented
remuneration-related initiatives designed to strengthen accountability, improve alignment with shareholders and
position the Company for its the next phase of growth.
At the 2025 Annual General Meeting, shareholders voted against the adoption of the FY25 Remuneration Report,
resulting in a first strike under the Corporations Act. The Board listened carefully to the feedback conveyed through the
vote and committed to taking meaningful action in response.
Director Fee Reductions and Board Resizing
As an immediate demonstration of accountability, the Board resolved to reduce Directors' fees by 20%, effective from 13
November 2025. This action reflected the Board's commitment to recognising shareholder concerns and ensuring
alignment with shareholder expectations.
The Board also undertook an independent review of its size, composition and effectiveness for decision making. Following
that review, it was determined that Strike would be best served by a streamlined Board comprising four Non-Executive
Directors and a Managing Director, a structure better suited to the Company's current scale and stage of development.
The Company has also undergone significant leadership renewal. Mr John Poynton AO and Ms Mary Hackett retired from
the Board on 30 June 2026 following many years of valued service and leadership. On behalf of all shareholders, I thank
them for their important contributions to Strike's development.
Following these changes, I assumed the role of Chair on 1 July 2026. In addition, Ms Shelley Robertson was appointed
Managing Director and Chief Executive Officer, effective 1 June 2026. Shelley brings extensive leadership and operational
experience, and the Board is confident that under her leadership the Company is well positioned to execute its strategy
and realise the value embedded within its portfolio.
Refreshing the Remuneration Policy
Alongside Board renewal, the Remuneration Committee undertook a comprehensive review of Strike’s remuneration
framework. The objective was straightforward: to better align remuneration outcomes with Company performance,
shareholder returns and long-term value creation.
As a result, the Board approved a refreshed Remuneration Policy that consolidates the principles governing remuneration
decisions into a single framework.
A particular focus of the review was the design of the Short-Term Incentive Plan (STIP). The revised framework
strengthens the connection between reward and performance, increases transparency and enhances executive
alignment between executives and shareholders. Key changes include the introduction of deferred equity arrangements
for Key Management Personnel, malus and clawback provisions, clearer governance around Board discretion and a more
disciplined approach to performance assessment.

NOTICE OF ANNUAL GENERAL MEETING 2026 3
LETTER FROM THE CHAIR
Share Price Performance
The Board believes Strike's current share price does not reflect the underlying value of the Company's high-quality asset
base, strategic infrastructure position and growth opportunities. We recognise that many shareholders have been patient
during a prolonged development phase and have yet to see that value reflected in the Company's market valuation.
While the market has not fully recognised this value to date, meaningful progress has been made across the business.
The continued strong performance of Walyering, progress towards commissioning the South Erregulla Peaking Power
Plant and the advancement of West Erregulla are all important milestones in building a stronger and more diversified
energy business.
Following year end, Strike and Hancock Energy established a collaborative pathway to advance West Erregulla towards
development. This approach provides a clear line of sight to Final Investment Decision through a capital-efficient
development model and represents an important step towards unlocking the long-term value of this significant asset.
Looking ahead, the Board remains focused on creating a strong, cash-generative base business capable of funding future
growth while maintaining financial discipline and prudent capital allocation. Optimising Walyering gas production,
commissioning and operating the South Erregulla Peaking Power Plant, and progressing West Erregulla towards first
production are critical elements of this strategy.
I believe the Board renewal and remuneration reforms implemented during the year position Strike well for the future.
While realising the full value of the Company's asset base will take time, I am confident the foundations are now in place
to deliver sustainable growth and long-term value for shareholders.
On behalf of the Board, I thank you for your ongoing support. We encourage you to review the accompanying Notice of
Meeting and Explanatory Memorandum and to participate in the Annual General Meeting.
Yours sincerely,
Neville Power

EXPLANATORY MEMORANDUM
1. INTRODUCTION
1.1 Purpose
This Explanatory Memorandum has been prepared for the information of Shareholders in relation to the
business to be conducted at the Meeting.
This Explanatory Memorandum should be read in full and in conjunction with the Notice of Meeting. Capitalised
terms in this Explanatory Memorandum are defined in the Glossary in section 7 of this Explanatory
Memorandum. You should consult with your professional advisers if you have any questions in relation to how
to vote on theResolutions.
A Proxy Form is located at the end of the Explanatory Memorandum.
All Resolutions to be considered at the Meeting will be decided by poll.
1.2 Resolutions and recommendations
There are six Resolutions to be considered at the Meeting. Resolution 6 (the conditional spill resolution) will only
be put to the Meeting if at least 25% of the votes validly cast on Resolution 1 are cast against the adoption of the
Remuneration Report.
Certain voting exclusions and prohibitions are imposed by the Corporations Act and the ASX Listing Rules in
relation to the Resolutions as detailed in the accompanying Notice of Meeting. Subject to any voting exclusions,
the Directors intend to vote in favour of each Resolution and recommend that Shareholders vote in favour of
each Resolution (with the exception of Resolution 6 which the Directors intend to vote against, and recommend
that Shareholders vote against, for the reasons outlined in section 6.2 of this Explanatory Memorandum).
2. Financial Report, Directors’ Report and Auditor’s Report
The Corporations Act requires:
(a) the reports of the Directors and the auditor; and
(b) the annual report, including the financial statements of the Company for the year ended 30 June 2026,
to be laid before the Meeting. Neither the Corporations Act nor the Constitution requires a vote of
Shareholders on the reports or statements. However, Shareholders will be given an opportunity to raise
questions or comments on the management of the Company.
Also, a reasonable opportunity will be given to Shareholders (as a whole) at the Meeting to ask the Company’s
auditor questions relevant to the conduct of the audit, the preparation and content of the auditor’s report, the
accounting policies adopted by the Company in relation to the preparation of the financial statements and the
independence of the auditor in relation to the conduct of the audit.
3. RESOLUTION 1: TO ADOPT THE REMUNERATION REPORT
A resolution for adoption of the Remuneration Report is required to be considered and voted on in accordance
with section 250R(2) of the Corporations Act. The Remuneration Report forms part of the Directors' Report
included in the Annual Report. The Remuneration Report:
(a) explains the Board's policy for determining the nature and amount of remuneration of the Key
Management Personnel;
(b) explains the relationship between the Board's remuneration policy and the Company's performance;
(c) sets out remuneration details for each of the Key Management Personnel; and
9
(d) details and explains any performance conditions applicable to the remuneration of the Key
Management Personnel.
Section 250R(3) of the Corporations Act provides that Resolution 1 is advisory only and does not bind the
Directors or the Company itself. A failure of Shareholders to pass Resolution 1 will not require the Directors to
alter any of the arrangements in the Remuneration Report.
However, under sections 250U and 250V of the Corporations Act, where a resolution on the Remuneration
Report receives a “no” vote of 25% or more at two consecutive annual general meetings, the Company will be
required to put to Shareholders at the second annual general meeting a resolution on whether another
meeting should be held (within 90 days) at which all Directors (other than the Managing Director who, under
the Listing Rules may continue to hold office indefinitely without being re-elected) will cease to hold office, but
be eligible for election, and an election of Directors will take place.
At the Company’s 2025 Annual General Meeting held on 13 November 2025, the resolution to adopt the
Remuneration Report for the year ended 30 June 2026 received a “no” vote of 39.64% of the votes cast on the
poll. As this exceeded 25%, it constituted a first “strike” under section 250U of the Corporations Act.
Accordingly, if the resolution to adopt the Remuneration Report the subject of Resolution 1 receives a “no”
vote of 25% or more of the votes validly cast at this Meeting (a second “strike”), the conditional spill resolution
(Resolution 6) will be put to the Meeting. Further details are set out in section 6 of this Explanatory
Memorandum.
A reasonable opportunity will be provided for discussion of the Remuneration Report at the Meeting. While a
vote on the adoption of the Remuneration Report resolution is advisory only and does not bind the Directors
or the Company, the Board will take the outcome of the vote into consideration when reviewing the
remuneration practices and policies of the Company.
Important Notice
If you choose to appoint a proxy, you are encouraged to direct your proxy how to vote on Resolution 1 by
marking either "For", "Against" or "Abstain" on the Proxy Form. If the Chair is appointed as your proxy and you
have not specified the way the Chair is to vote on Resolution 1, by signing and returning the proxy form, the
Shareholder is deemed to have provided the Chair with an express authorisation for the Chair to vote the proxy
in accordance with the Chair’s intention, even though the resolution is connected directly or indirectly with the
remuneration of a member of the Key Management Personnel.
The Chair intends to exercise all undirected proxies in favour of Resolution 1, subject to being authorised to do
so.
4. RESOLUTION 2: TO RE-ELECT MS JILLIAN HOFFMANN AS DIRECTOR
4.1 Background
Clause 4.6 of the Constitution and ASX Listing Rule 14.4 both provide that no director (other than the Managing
Director) may hold office without re-election past the third annual general meeting following the director’s
election or last re-election or for a continuous period of more than three (3) years, whichever is longer.
Ms Hoffmann was appointed as a Director on 1 May 2023 and was subsequently elected by Shareholders at the
Company's 2023 Annual General Meeting. Accordingly, Ms Hoffmann retires in accordance with the Constitution
and ASX Listing Rule 14.4 and, being eligible, offers herself for re-election.
Ms Hoffmann has more than 30 years' experience in the energy industry, including 12 years in senior executive
positions at Woodside Energy. Her experience spans the energy value chain, including marketing and trading,
commercial operations and large-scale capital-intensive projects. At Woodside, she held several senior executive
roles, including Senior Vice President positions in marketing and trading, and led the development and
implementation of renewable energy, environmental and cultural heritage protection strategies. Earlier in her
career, Ms Hoffmann held positions at Chevron and Worley.
